1. Agreement to these terms

These Terms of Service (“Terms”) are a binding agreement between you and Caliper App LLC, a Colorado limited liability company (“Caliper App LLC,” “we,” “us”), governing your access to and use of this website (the “Site”) and your dealings with us. By using the Site, you agree to these Terms. Your use of the Caliper application is governed by our separate EULA.

2. The software and the App Store

The Caliper application is distributed and sold through the Apple Mac App Store. All purchases, billing, and refunds are handled by Apple under Apple’s Media Services Terms and Conditions. We do not process payments and cannot directly issue refunds for App Store purchases; refund requests are made to Apple. Your license to use Caliper is governed by the EULA.

3. Acceptable use of the Site

You agree to use the Site only for lawful purposes, and not to: (a) interfere with or disrupt the Site; (b) attempt to gain unauthorized access to it; (c) scrape, copy, or republish Site content except as expressly permitted; or (d) use the Site to infringe any third party’s rights.

The Site and its content — including the Caliper name and logo, text, graphics, screenshots, and design — are owned by Caliper App LLC and protected by intellectual property laws. We grant you a limited, revocable license to view the Site for your personal and business reference. “Caliper” and related marks are trademarks (registered or unregistered) of Caliper App LLC.

The Site may link to third-party websites, such as the Mac App Store or Apple’s documentation. We are not responsible for the content or practices of those sites.

You agree to indemnify and hold harmless Caliper App LLC and its members from any claims, damages, or expenses arising out of your misuse of the Site or violation of these Terms.

9. Governing law & dispute resolution

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. Any dispute will first be addressed through good-faith negotiation. If unresolved within 30 days, it will be submitted to binding arbitration in Pitkin County, Colorado, under the rules of the American Arbitration Association. The prevailing party may recover reasonable attorneys’ fees.

10. Changes to these terms

We may update these Terms from time to time. Changes are effective when posted, as indicated by the effective date above. Your continued use of the Site after changes constitutes acceptance.
